These Terms & Conditions ("Terms") govern your access to and use of Skiip’s websites, platforms, applications, tools, services and related technologies (collectively, the "Services").

Skiip provides technology that helps businesses create better ways for their customers to discover, order, purchase, book, request or otherwise engage with their products and services. The Services may be used across different industries and business categories.

By accessing or using Skiip, you agree to these Terms. If you do not agree with these Terms, please do not use the Services.

1. About Skiip

Skiip is a technology platform designed to help businesses manage and improve customer transactions and interactions.

Depending on the business, service or product involved, Skiip may facilitate activities including:

• Product and service discovery
• Online ordering and purchasing
• Pre-ordering and collection
• Delivery coordination
• Customer notifications
• Digital payments
• Business operations management
• Customer engagement
• Business analytics
• Marketing and promotional activities

The specific Services available may vary by business, location, industry and commercial arrangement.

Skiip does not necessarily provide, manufacture, own or directly supply the products or services offered by businesses using the platform.

2. Definitions

For the purpose of these Terms:

"Skiip", "we", "us" or "our" refers to Skiip and its applicable affiliates, operators or service providers.

"Business" refers to any company, merchant, restaurant, service provider, professional, retailer, operator or other commercial entity using Skiip.

"Customer", "you" or "your" refers to any person accessing or using the Services.

"Platform" refers to Skiip’s websites, applications, interfaces, systems, software and associated technology.

"Transaction" refers to an order, purchase, booking, payment, request or other commercial interaction facilitated through Skiip.

3. Using Skiip

You agree to use Skiip lawfully and responsibly.

You must not:

• Use Skiip for unlawful, fraudulent or deceptive purposes.
• Provide false, misleading or fraudulent information.
• Attempt to gain unauthorized access to any account, system or data.
• Interfere with the operation or security of the Platform.
• Introduce malicious software, code or other harmful material.
• Attempt to circumvent security, authentication or access controls.
• Use Skiip to infringe another person’s rights.
• Scrape, copy or reproduce substantial portions of the Platform without authorization.
• Use the Services in a manner that could damage Skiip, its users or participating businesses.

Skiip reserves the right to restrict, suspend or terminate access where we reasonably believe these Terms have been violated or the Platform is being misused.

4. Business Accounts

Businesses using Skiip are responsible for providing accurate and current information about their business, products and services.

Businesses are responsible for:

• Maintaining accurate business information.
• Providing accurate product or service descriptions.
• Keeping pricing and availability information reasonably current.
• Honouring accepted orders, bookings or transactions.
• Providing products and services as described.
• Complying with applicable laws and regulations.
• Maintaining the confidentiality of account credentials.
• Ensuring that individuals operating their account are authorized to do so.

A business remains responsible for the products or services it offers through Skiip.

5. Products and Services

Skiip does not guarantee that every product or service displayed through the Platform will always be available.

Descriptions, images, prices, availability, delivery information, operating hours and other information may be provided by participating businesses.

While Skiip may provide tools that allow businesses to manage this information, the business remains responsible for its accuracy.

Where a transaction is between a Customer and a Business, the Business is generally responsible for fulfilling the relevant order, booking, product or service unless otherwise expressly stated.

6. Orders and Transactions

When you place an order, booking or other request through Skiip, you are submitting a request to the relevant Business.

A transaction may only become binding once it has been accepted or confirmed by the Business or otherwise identified as confirmed within the Platform.

Skiip may provide customers with transaction confirmations, order numbers, receipts, notifications or other records.

Businesses may reject or cancel transactions where reasonably necessary, including where:

• A product or service is unavailable.
• There is an apparent pricing or system error.
• The Business is unable to fulfil the transaction.
• Fraudulent or suspicious activity is detected.
• Circumstances outside the Business’s reasonable control prevent fulfilment.

Where a transaction is cancelled, any applicable refund will be handled in accordance with the applicable Business’s refund policy and Skiip’s payment procedures.

7. Pricing

Prices displayed through Skiip are generally determined by the relevant Business.

Businesses are responsible for ensuring that their prices and applicable charges are accurately represented.

Depending on the transaction, additional charges may apply, including delivery, convenience, service, processing, taxes or other applicable fees.

Any applicable charges will be presented to the Customer where reasonably practicable before completion of the transaction.

Skiip may update its own fees, charges or commercial arrangements from time to time.

8. Payments

Skiip may facilitate payments through third-party payment providers and financial technology infrastructure.

Depending on the transaction, available payment methods may include card payments, bank transfers, digital payment methods or other supported methods.

By submitting payment information, you authorize the applicable payment provider to process the transaction.

Skiip does not store sensitive payment credentials such as full card numbers where payment processing is handled by a third-party payment provider.

Payment processing may be subject to the terms and privacy policies of the relevant payment provider.

Skiip is not responsible for failures caused solely by a third-party payment processor, banking institution, telecommunications provider or other external infrastructure.

9. Refunds, Cancellations and Disputes

Refund and cancellation policies may differ depending on the Business, product, service and type of transaction.

Before completing a transaction, Customers should review any applicable cancellation or refund conditions.

Where a Customer has an issue with a transaction, Skiip may assist with communication or resolution where appropriate, but Skiip is not necessarily the supplier of the underlying product or service.

Where appropriate, disputes may need to be resolved directly between the Customer and the relevant Business.

Nothing in these Terms removes any rights or protections available to a Customer under applicable law.

10. Delivery and Fulfilment

Where Skiip facilitates delivery, collection, booking or other fulfilment arrangements, the applicable terms may depend on the Business and the specific transaction.

Estimated delivery or fulfilment times are not guaranteed unless expressly stated otherwise.

Delays may occur due to traffic, weather, demand, business operating conditions, technical issues or other circumstances outside Skiip’s reasonable control.

11. Notifications

Skiip may send transactional and service-related notifications, including:

• Order confirmations
• Payment confirmations
• Status updates
• Collection notifications
• Delivery updates
• Booking notifications
• Account notifications
• Service announcements

Where permitted by applicable law, Customers may also receive marketing or promotional communications.

Users may manage available communication preferences through the Platform or by using the unsubscribe mechanism included in applicable marketing communications.

12. Marketing Services

Skiip may provide businesses with marketing, promotional and customer engagement services.

These may include digital campaigns, promotional placements, customer communications, analytics and other marketing activities.

Businesses are responsible for ensuring that information supplied to Skiip for marketing purposes is accurate, lawful and does not infringe third-party rights.

Skiip does not guarantee any particular level of sales, customer acquisition, revenue or commercial performance from marketing services.

13. Analytics

Skiip may provide businesses with analytics and reporting relating to activity occurring through the Platform.

Analytics may include information relating to transactions, customer interactions, orders, product performance and other operational activity.

Analytics are provided for informational and operational purposes and may not represent a complete picture of a Business’s overall commercial activity.

14. Intellectual Property

The Skiip name, logo, trademarks, designs, interfaces, software, technology, content and other elements of the Platform are owned by or licensed to Skiip and are protected by applicable intellectual property laws.

Except where expressly permitted, you may not:

• Copy or reproduce Skiip’s proprietary materials.
• Modify or create derivative works from the Platform.
• Reverse engineer or attempt to extract source code.
• Reproduce Skiip branding without permission.
• Use Skiip’s intellectual property in a way that suggests an unauthorized relationship or endorsement.

Businesses retain ownership of content, trademarks, product information and other materials they provide to Skiip, subject to the rights necessary for Skiip to provide the Services.

15. User and Business Content

You may provide information, images, descriptions, reviews, logos or other content through Skiip.

By submitting content, you confirm that you have the necessary rights to provide it.

You grant Skiip a non-exclusive, worldwide, royalty-free licence to use, reproduce, display, modify and distribute such content as reasonably necessary to operate, promote and improve the Services.

Skiip may remove content that violates these Terms, applicable law or the rights of others.

16. Third-Party Services

Skiip may integrate with or rely on third-party services, including payment processors, hosting providers, analytics providers, communications providers, mapping services and other technology providers.

Third-party services may operate under their own terms and privacy policies.

Skiip is not responsible for the independent acts, omissions, availability or policies of third-party services.

17. Availability of the Platform

We work to keep Skiip available, secure and reliable, but we do not guarantee uninterrupted access.

The Platform may occasionally be unavailable because of:

• Maintenance
• Software updates
• Technical failures
• Security incidents
• Network interruptions
• Third-party service failures
• Circumstances beyond our reasonable control

We may modify, suspend or discontinue any part of the Services where reasonably necessary.

18. Security

We take reasonable measures to protect the Platform and information processed through it.

However, no internet-based service can guarantee absolute security.

Users are responsible for maintaining the security of their account credentials and should notify Skiip promptly if they believe their account has been compromised.

19. Privacy

Your use of Skiip is also subject to our Privacy Policy, which explains how we collect, use, store and protect personal information.

Our Privacy Policy forms part of these Terms.

20. Disclaimer

To the extent permitted by applicable law, Skiip provides the Platform and Services on an "as available" and "as is" basis.

We do not guarantee that:

• The Platform will always be available.
• All information will always be complete or error-free.
• Every Business or product will meet a particular standard.
• Every transaction will be successfully completed.
• Products or services will always be available.
• The Services will produce a particular commercial result.

Skiip does not assume responsibility for the quality, safety, legality, availability or suitability of products or services supplied by independent Businesses, except to the extent expressly required by applicable law.

21. Limitation of Liability

To the fullest extent permitted by applicable law, Skiip will not be liable for indirect, incidental, special, consequential or punitive losses arising from your use of the Services.

This may include loss of profits, revenue, business opportunities, data or goodwill.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

22. Indemnity

To the extent permitted by law, you agree to indemnify and hold Skiip harmless from claims, losses, liabilities, damages, costs and expenses arising from:

• Your breach of these Terms.
• Your misuse of the Services.
• Your violation of applicable law.
• Your infringement of another person’s rights.
• Content or information you provide through the Platform.

23. Suspension and Termination

Skiip may suspend or terminate access to the Services where reasonably necessary, including where:

• These Terms have been breached.
• Fraudulent or unlawful activity is suspected.
• The Platform is being abused.
• Continued access creates a security or legal risk.
• A Business relationship has ended.

You may stop using the Services at any time.

Termination does not affect rights or obligations that arose before termination.

24. Changes to These Terms

We may update these Terms from time to time to reflect changes to the Services, applicable law or our business practices.

When we make material changes, we may provide reasonable notice through the Platform or other appropriate communication channels.

Your continued use of Skiip after updated Terms become effective constitutes acceptance of the revised Terms.

25. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, except where applicable law requires otherwise.

Any dispute arising in connection with these Terms or the Services shall be subject to the jurisdiction of the competent courts of Nigeria, unless otherwise required by applicable law.
